ABSTRAK Merujuk kepada kontrak build-operate-transfer (B.O.T) yang baru diperkenalkan, penyelidik telah cuba melalui kajian penyelidikan ini untuk menyiasat dan memahami sistem undang-undang yang mengawal selia. Oleh kerana kontrak jenis ini telah digunakan di negara-negara Islam, asas dan keselarasannya dengan syarak perlu dipenuhi. Walau bagaimanapun, penyelidik menggunakan pendekatan analisis perbandingan pada setiap bahagian untuk mengetahui pendapat doktrin sekitar, pemeriksaan aspek yang berbeza dan bandingkan dengan beberapa peruntukan undang-undang. Dapatan kajian dan saranan yang boleh dilaporkan sebagai kesimpulan akhir menunjukkan transaksi B.O.T dianggap sebagai kontrak pengurusan dimana dari segi istilah dianggap baru tetapi dari segi konsep dianggap lama. Konsep ini merupakan evolusi untuk kontrak konsesi utility awam yang ditakrifkan di dalam abad kelapan belas. B.O.T juga merupakan pembangunan produk Islam Barat. Syariah Islam menjelaskan transaksi tersebut menerusi perbandingan dengan konsep pelaburan wakaf, penyewaan dan banyak urusniaga yang serupa bagi kontrak tersebut. Kontrak-kontrak tersebut adalah dibenarkan penggunaannya di dalam negara-negara Islam dan dibentangkan kajian. ABSTRACT As a build-operate-transfer contract (B.O.T) is recently introduced, the researcher has attempted through this research to investigate and understand it is legal system that governs it. Since these types of contracts were used in Islamic countries, their foundation and conformity with the Islamic religion should be fulfilled. However, the researcher used the analytical approach and comparative analysis of each part to know the doctrinal opinions around, examining different aspects and to compare it with some of the legal provisions and legitimacy. The researcher achieved a number of conclusions and recommendations which reported in the final conclusion. This study has shown the correct trend that adapting a B.O.T as a management contract and that of recent decade’s old concept and name is an evolution of the public utilities concession contract which defined in the eighteenth century. However, this study showed that B.O.T is a development of the Western Islamic product. The Sharia explained such transactions comparatively with the concept of investment of wakaf, ijarah and many similar transactions for such contracts. They are allowed to use them in Muslim countries and elobrated in the folds of the study. |
